Aus dem zum 17.05.2019 berichtigten und als Endfassung deklarierten

geht hervor, dass SIHPL einen maximalen anfänglichen Zahlungsbetrag (Initial Payment Amount) von 1.581.300.000 EUR zu leisten hat.
Dies bezieht sich auf die LuxFinCo 1 21/22 Verschuldung, die mittlerweile 1,75 Mrd€ beträgt.
Der Gesamtbetrag, der von den Finanzparteien im Rahmen dieser Vereinbarung von SIHPL eingezogen werden kann, darf den anfänglichen Zahlungsbetrag nicht überschreiten!
Hat SIHPL seinen Beitrag geleistet, darf SIHPL per Kündigung aus dieser Urkunde austreten.
Deshalb mein Interesse an der SIHL Bilanz 2017/18 und am SIHPL Cash Pay Out.
Originalzusammenstellung aus dem Dokument SIHPL CPU:
"Payment Amount means an amount equal to the Initial Payment Amount minus an amount equal to the aggregate amount of Cash Pay Outs made by SIHPL in accordance with Clause 6.9 (SIHPL Cash Pay Outs).
Initial Payment Amount means EUR 1,581,300,000 minus an amount in euros equal to the Unallocated Facility A1 Commitments (if any).
Liability cap
(a) Notwithstanding any other provision of this Deed or the Finance Documents:
(i) the aggregate maximum amount that may be recovered from SIHPL by the Finance Parties under this Deed shall not exceed the Initial Payment Amount;
Termination
This deed shall remain in full force and effect until the earlier of the following events (date of termination):
(b) the date on which SIHPL has paid in full to the creditors (including payments to the Agency or the umbrella agent on behalf of the creditors) the sums corresponding in aggregate to the initial payment amount pursuant to this Instrument." |
