NeoMedia Completes Acquisition of BSD Software, Accelerating the Launch of its Telecom Services Business Unit
FORT MYERS, Fla.--(BUSINESS WIRE)--March 23, 2006--NeoMedia Technologies, Inc. (OTC BB: NEOM) an innovator in market-driven technologies, said today that it has completed the acquisition of BSD Software Inc. (OTC BB: BSDS) and its operating entity, Triton Global Services, accelerating the launch of its NeoMedia Telecom Services business unit.

The acquisition, the fifth closed by NeoMedia since February and its first in the telecom industry, was an all-stock transaction, with BSD shareholders receiving approximately $2.5 million in NeoMedia shares. NeoMedia and BSD/Triton had filed a joint registration/information statement with the Securities and Exchange Commission prior to the closing.

Operating via the Internet from its Calgary, Alberta, Canada headquarters, Triton provides live and automated operator calling services and e-business support, including billing, clearinghouse and information management services, to telecom industry companies. For its fiscal year ending July 31, 2005, BSD reported revenues of $7.4 million and net income of $271,350. Through the first half of fiscal 2006 ended January 31, 2006, it had unaudited revenues of $4.3 million and net income of $9,675.

Last March, BSD Software was named No. 151 in a listing of the Top 300 Tech Firms in Canada - known as the "Branham 300" - in Backbone Magazine, a leading Canadian technology publication.

'Exciting New Era for NeoMedia'

Charles T. Jensen, president and CEO of NeoMedia, called the completion of the acquisition of BSD and his company's entrance into the telecommunications industry "an exciting new era for NeoMedia.

"NeoMedia has been anxious to participate in the telecom industry for some time, and first identified BSD as a very attractive candidate who could help accelerate our entrance into the marketplace back in 2004," Mr. Jensen said. "From the outset, we felt there were strong synergies that made this a viable transaction, as BSD and its Triton operating entity do business and have relationships with companies and in market sectors where NeoMedia has, or seeks to build, business and alliances.

"Now, with BSD and Triton as part of our company, we intend to move forward quickly to build on their relationships, in Canada, in the U.S. and overseas."

Mr. Jensen said that Guy Fietz, CEO of BSD Software and president of Triton, will now serve as vice president and general manager of NeoMedia Telecom Services, based at the previous BSD offices in Calgary.

"We believe that the proven sales and marketing record of BSD/Triton will complement NeoMedia's growing group of companies and products," Mr. Fietz said.

A $10 Billion Market in North America

The marketplace in which Triton specializes - billing for telecom service providers in U.S. and Canada -- is expected to generate $10.2 billion in 2006 (source, Pelorus Group).

"By providing these proven services, and by expanding our offerings through Internet Protocol (IP)-based networks and payment solutions, Triton gained a substantial customer base in late 2005, including some of the world's largest providers of online dating and Web personals services," Mr. Fietz said. "Moving forward, Triton will seek to provide mobile solutions in Canada that leverage the talents and products of other recently-acquired NeoMedia companies in the mobile marketing industry, as well as by providing payment solutions to the NeoMedia group of companies around the world."

About NeoMedia Technologies, Inc.

NeoMedia Technologies, Inc. (www.neom.com) is a diversified global company offering leading edge, technologically advanced products and solutions to its clients developed out of market-identified needs. Triton's vision is to continue expanding its "live" and "automated" hospitality services while focusing on making emerging Web-based information and transaction services easier to access and pay for.

Urgent Update on
for ChangeWave MicroCap Subscribers

I spent a lot time with management this week…. they are finally getting their vision to match their actions which is GREAT for us investors.

Many of you seem to “buy under 30 cents — and then sell above 40 cents” and that is your prerogative. I’ve heard from numerous folks who have round-tripped this stock 3-4 times over the last several months — no problem with me.

I also know that many of you sold stock you bought at 6 or 7 cents at 70 cents or more when the stock zoomed up, after management announced their Word Registry business—that’s fine too!

It turns out that more than a few vacation homes in nice places were bought with those profits. Well done! I hope you’re enjoying the spoils of your success.

But I hold a good chunk of under 30 cents and will NOT be selling.

The main reason is that they REALLY are now building the mobile marketing technology and ad agency of the future — and the acquisitions they are doing are NOW finally starting to get them to critical mass.

As many of you know, I am an active private investor in emerging technology. And one of my biggest private investment holdings is in the mobile content and marketing space. The reason? HUGE growth!.

What’s happening with now

is using the strength of their patents to “roll up” the privately held mobile marketing world. By this time next year, they will be the undisputed leader in delivering technology and marketing services to cell phones.

If you look at the other Enabling Technology leaders, you see they,

*** have bought Mobot;

*** are in a legal battle with ScanBuy:

*** have a tech deal with AirClic after their settlement; and

*** are undoubtedly close to agreements/takeovers with NextCode, OP3 and Gavitec.

Their strategy is simple: You either agree to pay royalties and licensing fees to on its patents that enable marketing over the Internet to mobile phones…

…or we’ll buy you out IF you can help us become the dominant player faster.

And if you look at Mobile Marketing agencies and aggregators, they are aggressively acquiring and partnering there, as well.

Their just-announced acquisition of 12 snap makes them a very strong player in the mobile marketing agency world. And using SMS (Short Message Service) to conduct contests, games, etc. for big brand advertisers is fast turning into a marketing breakthrough.

That’s why there’s a lot of action in this space.

’s goal is to be paid a fee by every marketer who wants to activate their name or logo or bar code as a marketing tool over wireless.

And they are getting closer to this vision every week.

Right now it’s SMS messaging… then we go to using the cell phone camera to click on a picture or bar code or logo (already used in Japan by over 9 million people)… then the phone starts to read RFID tags… and later you use your voice to say “ChangeWave” or “eBay,” and your voice enabled browser takes you to the site where those marketers want you to go.

This is the world envisions and so do I…

Right now you can steal this stock under 30 cents – that’s my signal for “Back up the truck and BUY.”

Then hold on for a wild ride to $5 or more.

12snap to Generate Mobile Soccer Excitement for Lufthansa

Munich, Germany, and Fort Myers, FL, April 27 2006 -- 12snap AG, an award-winning leader in mobile marketing and entertainment applications, and a unit of NeoMedia Technologies, Inc. (OTC BB: NEOM), today announced it has signed an agreement with Lufthansa to leverage 12snap’s expertise to "mobilize" the cross-media communication of Lufthansa’s involvement in soccer in Germany. 12snap prevailed in a multi-company pitch.

Lufthansa, the official partner of the German Soccer Association (DFB) and of record-holding champion club FC Bayern Munich (FCB), is now putting increased emphasis on its mobile strategy. Soccer fans will be able to receive a comprehensive mobile entertainment package from Lufthansa, ranging from soccer-themed content and games, to competitions, video clips and an interactive quiz. At the heart of the mobile concept is 12snap’s technology platform, which has been the basis for executing its creative and award-winning mobile marketing campaigns for several years.

"12snap provided the ideal mix of many years of mobile experience, conceptual strength and the use of state-of-the-art mobile technologies," explains Dirk Schwarze, Director Direct and Sales Marketing of Deutsche Lufthansa AG referring to the decision made in recent days. "In addition, 12snap is able to perfectly execute our information service strategy for the increasing number of mobile users, without excluding those customers that are not yet equipped with the very latest mobile phone technology."

Key Points

Munich’s mobile specialist 12snap will extend Lufthansa’s "Partner of Soccer" campaign to mobile phones, accompanying its website www.LH2006.com.

The mobile campaign will give Lufthansa’s mobile customers the opportunity to access Lufthansa’s soccer information and entertainment services anytime and anywhere.

With Lufthansa, the airline industry becomes the latest to take advantage of the benefits of mobile marketing.

Ulrich Pietsch, executive director of 12snap Germany adds, "Winning the Lufthansa account is cause for double celebration at our company: showing what mobile phones can accomplish in the field of soccer is particularly attractive in 2006, plus, with this mobile campaign we can create enthusiasm among target groups that have so far tended to be reticent about being approached via their mobile phone." Pietsch continues, "Alongside brands such as McDonald’s, Coca-Cola, adidas, and Vodafone, it is of course a special honor to now be handling Lufthansa as a client."

SMS or MMS - Registered members from the TMN marketing database (X-Mensagem) receive a McDonald's mobile discount voucher as a code in a picture message (SMS or MMS) sent to their mobile phones. Consumers who are not registered in the TMN database can request the mobile coupons by sending an SMS to a special McDonald's number.

Bluetooth - During happy hour (from 3:00 - 7:00 p.m.) consumers with Bluetooth-enabled phones can also take advantage of special discounts in the form of special codes sent to their phones, with Bluetooth available and active near the McDonald's restaurants.

The unique and encrypted 2-dimensional code sent to the consumers' mobile phones contains information including: restaurant name, voucher, discount amount and an expiration date. In addition, it ensures that the mobile coupon can be redeemed only once (fulfilling all campaign requisites).

Then, right at McDonald's restaurants, consumers can print and use their mobile coupons - instantly benefiting from McDonald's most recent discounts and special offers. Custom-made EXIO terminals using Gavitec's unique scanning technology have been installed into the TopSolutions kiosks at participating McDonald's restaurants, which are used to scan the mobile coupon directly from the phone's screen. Using the built-in GSM-module (GPRS), the kiosk verifies on-line the validity of the coupon against a central database and, in case of a valid coupon, prints out a unique paper voucher which is redeemable at the cash register.

"This project clearly represents an important milestone for mobile couponing in Europe," said Dr. Christian Steinborn, COO of Gavitec. "We are pleased to provide the technological solution, in conjunction with TopSolutions, to help McDonald's to become the first restaurant chain efficiently and successfully using mobile couponing."
