HSE-Beteiligung: Merkwürdigkeiten bei der Stadtwirtschaft

Finanzen: Parlament weigert sich, eine Beteiligung der HSE nachträglich zu billigen, aber dies bleibt ohne Konsequenzen

Im November 2010 hat das Parlament mit Mehrheit gegen die Stimmen von SPD und Grünen einer HSE-Beteiligung die Zustimmung verweigert. Der Energieversorger wollte sich über seine Tochter, die Forest Carbon Group AG, an dem kanadischen Unternehmen ERA Carbon Offsets Ltd. beteiligen, das mit Kohlendioxidzertifikaten und Wiederaufforstungen handelt.
Ob und wie das ohne vorherige Parlamentszustimmung abgeschlossene Geschäft rückabgewickelt wird, ist auch nach drei Monaten noch unklar. Anfragen von Uwiga und FDP an den Magistrat wurden mit Verweis auf eine noch ausstehende Antwort der HSE beantwortet. Inzwischen hat die Stadt ein HSE-Schreiben, aber wann die Stadtverordneten darüber unterrichtet werden, ist offen.
Selbst einfache Fragen wie die, ob in den Verträgen überhaupt ein Parlamentsvorbehalt enthalten war, wurden bisher nicht beantwortet. Nach ECHO-Informationen gibt es eine solche Klausel nicht. Für den Fall, dass das Geschäft tatsächlich rückabgewickelt wird, könnte das teuer werden, denn das Aktienpaket hat seit dem Ankauf zwei Millionen Euro an Wert verloren. Die Frage ist, ob die Forest Carbon Group, die HSE, das jeweilige Management oder am Ende die Stadt für eventuelle Verluste haften, weil man die Stadtverordneten erst gefragt hat, als für die kanadischen Partner alles schon in trockenen Tüchern schien.
Die Beteiligung an dem kanadischen Unternehmen hatten im November Alternative Darmstadt, CDU, FDP, Linke und Uffbasse abgelehnt. Sie kritisierten, dass sie - wieder einmal - nachträglich ein HSE-Geschäft absegnen müssten. Und erinnerten daran, dass es gesetzlich vorgeschrieben sei, die Zustimmung vorher einzuholen.

Georg Hang (Alternative) hatte zudem festgestellt, dass der ERA-Carbon-Aktienkurs stark schwankte. Im Mai 2009 lag er bei rund zehn kanadischen Cent für eine Aktie. Im Juli 2009 kaufte die HSE (es gab noch keine Forest Carbon Group) für vier Millionen US-Dollar Emmissionszertifikate bei einer hundertprozentigen ERA-Carbon-Group-Tochter. Ab da stieg der ERA-Aktienkurs.
Im Dezember kündigte die Forest Carbon Group ein Investment in Kanada an. Im Januar 2010 stand der Kurs bei rund 90 Cent. Zum Kurs von 75 Cent kaufte die Forest Carbon Group im Februar 29,9 Prozent der Aktien für 3,5 Millionen Euro. Als im Juni 2010 die Magistratsvorlage zum Ankauf herauskam, lag der Kurs nur noch bei 40 Cent. Seit August 2010 liegt die Aktie bei rund 30 kanadischen Cent.
Ende Juni 2010 erhielten die Stadtverordneten eine Magistratsvorlage, mit der sie der Beteiligung der HSE an der ERA Carbon über die Forest Carbon Group AG nachträglich zustimmen sollten. Das für 3,5 Millionen Euro schon gekaufte Aktienpaket war und ist nur noch 1,5 Millionen Euro wert. Allerdings liegt der Wert der Beteiligung für die HSE nicht im Aktienwert, sondern in dem Vorteil, Kohlendioxidzertifikate billiger werben zu können.
Die Stadt kann dem ECHO auch nichts zur Rückabwicklung sagen. Allerdings hatte das Rechtsamt bei der HSE auch gar nicht gefragt, bis wann der Anteilskauf rückgängig gemacht sein wird, sondern, ob eine Rückabwicklung möglich und wirtschaftlich vertretbar ist.

Aus Sicht der Stadt gebe es auch gar keinen Zustimmungsvorbehalt hinsichtlich der Stadtverordnetenversammlung in der Hessischen Gemeindeordnung (HGO). „Eine Beteiligung, die von städtischen Töchtern eingegangen wird, ist auch ohne Stadtverordnetenversammlungsbeschluss wirksam, es sei denn, in den Kaufverträgen ist ein Zustimmungsvorbehalt der Stadtverordnetenversammlung enthalten“, sagte Pressesprecherin Sigrid Dreiseitel. HGO-Paragraf 51, Absatz 11 greife nicht.
Dieser Paragraf bestimmt, dass nur das Parlament über Beteiligungen der Stadtwirtschaft an Unternehmen entscheiden darf. Auch sei die nachträgliche Unterrichtung des Parlaments HGO-konform, sagt das Rechtsamt. Und legt die Vorschrift so aus, dass eine Unterrichtung vor dem Anteilserwerb unnötig sei, sondern nur vor der Abstimmung im Parlament.

solarworld ist einer der besten beispiele dafür, das gut organisierte "umweltunternehmen" wozu ich ERA auch zähle, die gewinner der schrecklichen katastropfe sind.

leider ist diese aktie nicht so bekannt wie andere pennystocks, aber fakt ist das das unternehmen von jahr zu jahr wachsen wird.

ein sehr gut geführtes unternehmen, das einen grossen auftrag nachdem anderen an land zieht!
leider macht sich das auf den kurs nicht bemerkbar, da müssen sie wohl leute für das marketing einstellen um die aktie an den mann zu bringen ;)
bin schon dick im minus aber dennoch, schmeisse ich nicht weg, habe ich oft genug gemacht und danach gings immer los und ich war nicht mehr dabei.
schauen wir mal was das 2. quartal bringt

auf eine richtige rakete, leider fehlen noch die grossen impulse.
es werden zwar news durchgegeben wie und mit wem man alles verträge abgezeichnet hat, aber mit den quartalszahlen hält man sich bedeckt.
dennoch bleibe ich dabei, irgendwann muss es einen richtigen satz nach oben geben, dafür ist das unternehmen zu gut strukturiert...eine frage der zeit

..........aber am Bekanntheitsgrad müsste man noch etwas drehen !  

 

wie wäre es mit einem Schiff in voller Fahrt oder einer wachsenden Pflanze ? :-)

Der CEO und Gründer wirft als CEO das Handtuch (ohne, dass ein Nachfolge CEO feststeht).

Da ist auch bei mir das Fass voll und ich habe verkauft!

das er endlich zurückgetreten ist!
mit ihm gabs für die aktie keine zukunft, hoffe sie finden einen bald einen besseren.

p.s er bleibt trotzdem der firma treu und ist weiterhin dabei, nur nicht als direktor.

und jetzt abwarten und Teetrinken. Der Kurs hat noch Platz nach unten, aber bei € 0,10 ist für mich auch Feierabend. Steuergründen, da ich bisher zuviel positive Erfahrungen an der Börse habe. Das Tal wird aber bald durchschritten sein.

Ja, eindeutig am Kurs bemerkbar. Wie schon angekündigt, unter € 0,10 bin ich draußen, aber weiß jemand was da abgeht?

The Nature Conservancy of Canada Announces Large North American Forest Carbon Project with ERA, 3GreenTree, Forest Carbon Group and the Pacific Carbon Trust

June 9, 2011, Vancouver, British Columbia: ERA Carbon Offsets Ltd. (TSX-V: ESR) through its 100% owned subsidiary ERA Ecosystem Restoration Associates Inc.(ERA), and 3 GreenTree Ecosystem Services Ltd.(3GreenTree) are pleased to announce the completion and launch of the Darkwoods Carbon Project, the largest forest carbon project validated and verified to date within North America.

The Darkwoods project is the first carbon project undertaken by the Nature Conservancy of Canada (NCC), Canada’s leading private land conservation organization. Darkwoods is a 55,000 hectare (136,000 acre) property in south-eastern British Columbia.

NCC worked closely with 3GreenTree and ERA to design and develop the Darkwoods Carbon Project under the internationally recognized Verified Carbon Standard (VCS). The project uses the new VCS Improved Forest Management Methodology developed by 3GreenTree and ERA (VM0012) and recently approved under the VCS Double Approval Process by international 3rd party auditors Det Norske Veritas and Rainforest Alliance. The Darkwoods Carbon Project plans and documentation were then validated by Rainforest Alliance and verified by SCS Scientific Certification Systems, two of the world’s leading carbon auditing companies. The initial carbon credits have been issued to NCC on the Markit Environmental Registry.

ERA purchased 250,000 carbon offsets from the initial vintages which were in turn directed to the European market through their associates, the Forest Carbon Group AG (FCG). ERA and NCC will work with FCG to build the voluntary market for Darkwoods offsets in Germany and throughout Europe. The Pacific Carbon Trust was also an initial buyer of offsets from the first vintages of this project, which will be used to meet their mandate to offset the emissions of the British Columbia government’s public sector operations.

auf einen schlag.
so wird es hoffentlich weitergehen, handelsvolumen ist gering wenn dies mal ansteigt, sind verdoppelungen schnell erreicht, aber es fehlen zahlen vom unternehmen.
die können eigentlich nur positiv ausfallen, wenn man bedenkt das die auftragsbücher voll sind.

 

Den Ausflug unter den € 0,10 war kurz. Nur ein Aufblühen oder eine Bestätigung dass unter den € 0,10 der Kurs nichts verloren hat. Wir werden es bald wissen ob mein Ausstieg ein Fehler war.

 

denke nicht das es weiter runtergehen wird, sehe keine gründe dafür.
wenn noch ein neuer vorstand verkündet werden sollte in den nächsten tagen, müsste es wieder rasant aufwärts gehen.

Ich beobachte den Wert hier schon sehr lange.  Aber deine Hoffnungen endlich deinem Namen gerecht zu werden, werden hier vermutlich nicht bestetigt werden. Trotz deiner Lobeshymnen der letzten Jahre hier.

liegt mal daneben!
wäre es nicht so würde es keine krisen geben und jeder wäre reich!

meine lobeshymnen basieren auf die auftragseingänge und geschäftswachstum.
das unternehmen zieht grosse aufträge an land erwirtschaftet jedes jahr hohe gewinne, jedoch wirkt sich dies nicht auf die aktie aus.
gründe dafür weiss ich auch nicht, warum das nicht gekauft wird, wahrscheinlich zu "unbekannt"

ich denke immernoch und weiterhin, dass es hier nur noch steil aufwärts gehen kann jetzt muss ein neuer chef gefunden werden, nachdem sich dr. r.falls zurückgezogen hat von diesem posten ( ist dennoch weiterhin aktiv dabei )

die umweltaktien haben momentan eben keinen guten lauf, ist nicht nur bei dieser hier sondern auch bei den großen....siehe solarworld,q-cells etc.
