EU clears GM to buy Delphi steering business
BRUSSELS, April 30 (Reuters) - U.S. automaker General Motors (News/Aktienkurs) won permission from European Union regulators on Thursday to acquire the steering business of bankrupt automotive parts supplier Delphi Corp. (News)

The transaction will not significantly impede effective competition within Europe, the European Commission said in a statement.

'For all vehicle components which GM gets from Delphi Steering Business, the merged entity would continue to face several strong, effective competitors with significant market shares,' the statement said.

Delphi is a major supplier to GM.

The merged entity would not have an incentive to close off competing car manufacturers' access to Delphi steering products, said the Commission, which regulates competition in the 27-country EU.

Chrysler insolvent. GM am Abgrund. Absatzzahlen, die um ein Drittel und mehr einbrechen. Aber die Zulieferfirma der amerikanischen Autoindustrie, die seit 5 Jahren negative Ergebnisse schreibt, wird dieses Umfeld erfolgreich nutzen, um Chapter 11 zu verlassen.
Dazu mehrere Termine, die gerichtlich gesetzt wurden, um ein Sanierungsprogramm vorzustellen .... die am Ende wieder aufgeschoben werden.

Dass Delphi einzelne Unternehmensteile veräußert seh ich nicht unbedingt als Vorteil ... mit was wollen sie dann noch die Masse an Kohle wieder verdienen, die sie aktuell Jahr um Jahr verfeuern???

Vielleicht hab ich irgendwann das Nachsehen, aber mir fehlt schlicht die Fantasie, die es hier zur Genüge bräuchte.

phantasie. wenn delphi chapter 11 verläßt gehts ab. dann wird das ding explodieren. da spielt die wirtschaftskrise keine rolle.
und mit gm wird es weitergehen. egal ob mit oder ohne chapter 11. die amis lassen ihre autoindustrie nicht untergehen. und das wird auch delpgi zu gute kommen.

bin sehr optimistisch was delphi betrifft.
natürlich muss jeder selbst wissen ob er in delphi investiert. aber das kann die rakete werden... schaun mer mal

Delphi finalizes sale of select exhaust business sites

Delphi has finalized the sale to Mexican company Bienes Turgon of assets and shares related to the company's global exhaust business in Blonie, Poland; Clayton, Australia; Port Elizabeth, South Africa; joint venture interests in Monterrey, Mexico; technical centers in Auburn Hills, US; and Bascharage, Luxembourg.

Bienes Turgon has officially started operation of the business under the name Katcon Global.

As part of this transaction, the sale of assets to Bienes Turgon from the remaining two locations in Gurgaon, India and Shanghai, China is expected to close during the second half of 2009.

Although the company is divesting its exhaust business, Delphi Powertrain Systems continues to provide full engine management systems (EMS), including air and fuel management, combustion and valve train technology, through its gas EMS product business unit.

Sen. Charles Schumer, on a visit Monday to Delphi Corp.’s Rochester plant, urged struggling General Motors to repurchase Delphi plants in Lockport, Rochester and two other U.S. locations.

Delphi was created in 1999 when GM spun off its parts business.

The Democratic senator said in a statement that leaders should work to reach an agreement to reunite the two companies.

For GM, Schumer said, the deal would ensure a secure parts supply for vehicle production. For Delphi, it would bring security for job retention at the two Upstate plants.

Lockport’s Delphi Thermal Systems has 2,100 employees. The Rochester plant has more than 1,000 workers.

The continued operation of Lockport’s Delphi plant has enormous implications for the entire region, he said, while pointing out that its workers support restaurants, grocery stores and other businesses, and auto related industries, Schumer said.

General Motors is in the process of a massive cost-cutting, workforce-reducing, plant-closing restructuring designed to keep it out of bankruptcy.

Delphi has operated under Chapter 11 bankruptcy protection since October 2005.

The four Delphi plants are considered essential to GM’s operation, so purchasing all four to ensure their viability makes eminent sense, Schumer said.

They also are seen as likely to be the first to become profitable again as the economy turns around, he added.

Schumer’s office said he has discussed GM’s purchase of these plants with the Obama administration, which he said supports the plan.

General Motors Corporation (GM), a company engaged in designing, manufacturing, and marketing of cars and trucks, has received clearance from the European Commission to acquire the global steering business of Delphi Corporation, a supplier of mobile electronics and transportation systems. Both the companies are based in the US.

Announcement (March 3, 2009):

GM has agreed to acquire the global steering business of Delphi.

Earlier on September 12, 2008, Delphi and GM have entered into an agreement under which GM would exercise its option to purchase Delphi's steering business as mentioned in the amended master restructuring agreement between Delphi and GM.

Pursuant to two amendments to GM's liquidity advance agreement with Delphi, GM has agreed to increase from $300 million to $450 million the amount it is committed to advance to Delphi.

US Senator Mr Charles Schumer said that General Motors should be allowed to buy back some Delphi plants. He released a statement urging GM to repurchase all four US Delphi locations, including Rochester and Lockport. About 2,100 workers are employed at Delphi Thermal Systems in Lockport. Delphi spun off from GM as a separate parts company in 1999.

Mr Schumer said that "We are in a time when big decisions need to be made and decisive action needs to be taken. For the benefit of the community and the survival of the company, GM needs to reacquire these essential factories to preserve vital jobs and secure a supply chain for the future and Delphi needs to be a willing partner. I will continue to do whatever is necessary to see this purchase through, for the sake of Western New York, our state and our country’s auto industry."

For GM, Mr Schumer said that the deal would ensure a secure parts supply for vehicle production. For Delphi, it would bring job security to the Rochester and Lockport plants.

Mr Schumer urged Delphi and its creditors to negotiate with GM and be receptive to the company’s offers. He said that there is concern that the plants will close or drastically reduce their output if GM does not take them over, the senator said. The four plants are also seen as likely to be the first to become profitable again as the economy turns around.

Mr Schumer sent a letter to both Mr Frederick A Henderson GM president & CEO and Mr Rodney O’Neal Delphi president & CEO, encouraging the reunification of their companies. He said that he was greatly concerned that if Delphi fails to emerge from bankruptcy, the plants and thousands of jobs will be in danger. He said nearly 50,000 New Yorkers work at new-vehicle dealerships and more than 23,000 people work in parts manufacturing, not including the thousands of indirect jobs supported by the industry, such as those in steel, plastics or rubber.

Currently, GM, Delphi and other lenders are in discussions to restructure the troubled parts company and help Delphi emerge from Chapter 11 bankruptcy protection. Delphi has been in Chapter 11 since October 2005 and was forced to withdraw its reorganization plan in April after a group of investors pulled out of the deal.
