Completion of Acquisition or Disposition of Assets, Unregistered Sale of Equity



Item 2.01 Completion of Acquisition or Disposition of Assets.
On December 22, 2006, we completed the merger of WaterEye Corporation, a Delaware corporation ("WaterEye"), with and into our wholly owned subsidiary, Open Energy/WE Acquisition Corporation, a Nevada corporation ("WE"), pursuant to the terms of the Agreement and Plan of Merger dated as of December 21, 2006 (the "Merger Agreement") among us, WE, WaterEye and certain other parties.

WaterEye, located in Grass Valley, California, provides secure ASP based remote monitoring and diagnostic services to the water and wastewater treatment industries.

Pursuant to the Merger Agreement, all of the outstanding shares capital stock of WaterEye were converted into the right to receive an aggregate amount of 6,911,711 shares of our common stock, par value $0.001 per share, determined by dividing $2.91 million by the volume weighted average of the closing bid values per share of our common stock, as reported on the Over The Counter Bulletin Board for the twenty trading days immediately prior to the effective time of the merger. The shares of Open Energy common stock were issued in reliance on the exemption from registration provided by Section 4(2) of the Securities Act of 1933 based on the qualifications of the investors and the manner of offering.

The Merger Agreement provides for reciprocal indemnification obligations for losses as to which claims are made by December 22, 2007 resulting from breaches of representations and warranties or covenants and certain other circumstances. 345,586 of the shares issuable as part of the merger consideration described above have been placed in escrow as the exclusive source for satisfaction of such losses by the selling stockholders. The indemnification obligations of Open Energy are also capped at the value of the Open Energy common stock held in the escrow account.

Thomas D. Wolfe, who was WaterEye's President and Chief Executive Officer, will become Open Energy's Senior Vice President of Engineering and Development following the merger.

The foregoing description is qualified in its entirety by reference to the Merger Agreement, which is filed as Exhibit 2.1 hereto and is incorporated herein by reference.

Frohes neues Jahr zusammen!

Fast 50 US-Cent ... Open Energy.

Bin zwar jemand, der auf OE langfristig spekuliert und die 4 Euro in ein bis 5 Jahren sieht, aber muss sagen, daß der Kursschub schon nett anzusehen ist.

Auf jeden Fall ist chartechnisch eine von 2 wichtigen Kopflinien durchschlagen worden.

So kanns weitergehen. Da geht in den nächten Wochen noch jede Menge.

Suncone das Topprodukt von OE wird Presseberichten zufolge noch im Januar 2007 mit Leben gefüllt.

2007 könnte ein richtig starkes Jahr für unsere OE werden. Lassen wir uns überraschen.
Den Dollar könnten wir dieses Jahr ziemlich sicher wieder sehen.

Und wenn der CEO den Wert an die NASDAQ heben will, dann ist da noch ein wenig Kurskorrektur nach oben nötig.

Und die Public Relation-Abteilung von OE ist sehr gut aufgestellt!

     Open Energy Corporation (OTC BB: OEGY), a renewable energy company

focused on the development and distribution of solar energy

technologies, announced today that its SolarSave(R) roofing membranes

have been successfully installed at the Sweet Life Patisserie in

Eugene, Oregon.



¶   This project contains a 10.8 KW SolarSave(R) system, which has 24

SP-450 watt modules installed on a new single-ply membrane roof.



¶   "There is considerable opportunity for solar applications in the

state of Oregon," commented Howard Gomes, vice president of sales for

Open Energy Corporation. "Governor Kulongoski's proposal for tax

breaks and grants on renewable energy applications would provide more

homeowners and business-owners with important financial incentives to

embrace solar technology. The Sweet Life Patisserie installation of

our SolarSave(R) roofing membranes is a good example how our

technology can be embraced under future legislations to save money on

electricity in the long run."



¶   Governor Kulongoski has committed to helping Oregon achieve real

energy independence. His stated goal is for renewable resources to

meet 25 percent of Oregon's energy needs by 2025. The Governor has

directed the Department of Energy's Renewable Energy Work Group to

develop a "renewable portfolio standard," which he's expected to

propose to the Legislature in 2007. This will send a clear signal to

energy developers, encouraging them to invest in projects that bring

renewable energy to market over the next two decades. The Governor

will also continue to promote new state tax incentives that encourage

investments in renewable energy projects and ensure that renewable

energy development is cost-competitive.



¶   Sweet Life Patisserie is a pastry shop in Eugene, Oregon that is

focused on sustainability and alternative energy sources that allow

for protection of the environment. The SolarSave(R) system was

installed by Advanced Energy Systems, which is also headquartered in

Eugene, Oregon.

project based on their superior energy output with Sunpower's A300

cells, their light weight of only 2lbs per square foot, which

eliminated any structural concerns, and their ability to integrate

into the new membrane roof that the owners were having installed over

Advanced Energy Systems, the solar integrator for the Sweet Life

würde ja gerne nochmal billiger nachkaufen.

und 23kg für ein Modul mit 450Wp ist echt wenig. vor einem Jahr hat das 250W Modul noch das doppelte gewogen!! Da hat OE echt Fortschritte gemacht. Jetzt brauche ich auch keinen Kran mehr um die Module aufs Dach zu heben.

Und wenn die Förderung kommt , dann haben wir hier eine 2. Solarworld. (auch wenn der Spruch schon viel zu oft zu lesen war. Hier wird er stimmen!!)

Trotzdem werden die nochmal zu 40 cent zu bekommen sein.

man sollte sich aber auch mal die alten Börsenstars wie CMGI usw. anschauen. Die haben mittlerweile auch Solar Firmen im Portfolio wie eine Advent Solar.

Die Bewertung ist nach dem Internet Desaster auch moderat. Leider tut sich in diesen Threads nicht viel.
