Ohne Informationen aus dem Gerichtsaal blau das hier eine zitter Partie.

Zumindest Wirtschaftlich läuft s  

Oft denke ich usere Sistema schrammt an der Insolvenz - wenn ich Kurs betrachte  

die auswirkungen des verfahrens im vorfeld abzuschätzen. sistema hat bisher auch nicht mitgeteilt wie sie eine strafe zahlen würden.
Wenn sie glaubhaft unschuldig sein wollen, dann müssen sie das auch nicht. aber es schafft nunmal unsicherheit. je mehr ich über sistema in der russischen presse lese, umso kurioser wird das ganze. ich bleib drin und muss auch nochmal nachlegen.

AFK Sistema will pay 6.56 billion rubles in dividends for the nine months of 2017

The shareholders of AFK Sistema at an extraordinary meeting approved the payment of dividends for 9 months of 2017 in the amount of 6.56 billion rubles.

"PJSC AFK Sistema reports that the extraordinary general meeting of shareholders of Sistema, held on November 28, 2017 in the form of absentee voting, decided to send 6.562 billion rubles to pay dividends for the first nine months of 2017, which corresponds to 0.68 rubles per one ordinary share of AFK Sistema (13.6 rubles per GDR (Global Depositary Receipt, GDR - RNS), "the company said.

Earlier, the payment of dividends in this amount was recommended by the Board of Directors of AFK Sistema against the backdrop of strong results of portfolio companies.
 

Ordentliche Dividende, ist aus meiner Sicht, noch nicht angebracht.
Sollte man nicht vorab mal Reserven aufbauen - für die mögliche Strafe.

Moscow, 29 November 2017 – Sistema PJSFC (LSE: SSA, MOEX: AFKS) a publicly traded diversified Russian holding company, announces that an Extraordinary General Meeting of Sistema's shareholders that took place on 28 November 2017 with absentee voting approved the distribution of RUB 6.562bn in dividends, or RUB 0.68 per ordinary share (RUB 13.6 per GDR), for the first nine months of 2017. The record date was set as 8 December 2017.

Ist doch unglaublich, Rosneft hat gerade mal 327,9 Mrd Rubel für den Bashneft-Anteil gezahlt und will nun 170,6Mrd Rubel Entschädigung..

CHELYABINSK, December 4.  / TASS /.  The eighteenth Arbitration Appeals Court (Chelyabinsk) denied AFK Sistema a petition for the appointment of a financial appraisal for the reorganization of Bashneft, the TASS correspondent reports from the courtroom.

The Chelyabinsk court is currently reviewing appeals filed by AFK Sistema and Rosneft against the decision of the Arbitration Court of Bashkortostan, which decided to recover 136.3 billion rubles from AFK in favor of Bashneft.
The representative of AFK Sistema justified the petition for financial and economic expertise by the fact that "the expert can determine whether there were losses from the reorganization."  "Before the expert, we raise the issue of the amount of losses allegedly caused by the reorganization, and we give him documents on reorganization and financial documents," he said.

Litigation
In May 2017, Rosneft filed a lawsuit against AFK Sistema and Sistema-Invest on the recovery of 106.6 billion rubles in losses allegedly caused by the reorganization of Bashneft.  Subsequently, the plaintiffs increased the amount of claims to 170.6 billion rubles in connection with the weakening of the ruble.  The court granted the claim partially, having decided to collect in favor of Bashneft 136.3 billion rubles.  "Sistema" filed an appeal against this decision.

From 2005 to 2014, Bashneft was part of AFK Sistema Vladimir Yevtushenkov, after which it was returned to state ownership.  In 2016, 50.1% of Bashneft's shares were acquired by Rosneft, paying 329.7 billion rubles for the package.  After the offer to minority shareholders, Rosneft began to control 57.7% of the authorized capital of Bashneft.  Bashkiria owns 25% of the authorized capital plus one share of Bashneft.

Earlier it was reported that Rosneft, Bashneft and the Ministry of Property of Bashkiria also appealed against the decision of the Arbitration Court of Bashkiria on the suit against AFK Sistema.

Damit sinken die c hancen, dass sistema da heil aus der sache rauskommt. mit fairen verfahren hat das nix zu tun. auch hat sistema verlangt, dass sie einen unabhängigen prüfer einsetzen, der dann mitteilt was wirklich an schaden war. auch das wurde bisher immer abgelehnt. wenn die politik im spiel ist, geht es immer schlecht für den angeklagten aus. das justizsystem in russland ist einfach eine katastrophe.  

und ich hatte mir eigentlich was erhofft, aber damit war ja nicht zu rechnen...

In this regard, he believed that the examination is impractical. The plaintiffs and the experts proposed by AFK Sistema did not suit the plaintiffs.

As previously reported Nakanune.RU, in mid-November, representatives of AFK Sistema announced applications for additional materials to the case, as well as asked the court to proceed with the trial according to the rules of the court of first instance.

Das gericht folgt auch noch einem Schreiben von Rosneft, also dem Ankläger. Unglaublich ist das, und es ist für mich nun absolut ein unglaubwürdiger prozess. bis sich sistema erholt wird es noch lange dauern.

Dann müsste das gericht argumentieren, dass es sehr wohl in der lage ist die enstandenen verluste betreffend der Restrukturierung festzustellen, und entsprechend genügend Sachverstand hat. Das bezweifel ich.

....Rosneft and Sistema are currently in dispute over the reorganization of Bashneft. Earlier, the Arbitration Court of Bashkortostan recognized reorganization of Bashneft, which in 2014 was carried out by its former owners Sistema and Sistema-Invest, not as actions caused by economic expediency but as a method of illegitimate withdrawal of assets from the company.

The Court satisfied claims of Rosneft to Sistema in part, deciding to recover 136.273 bln rubles ($2.82 bln) from Sistema. The court also decided to recover a state fee of 159,740 rubles ($2,756) from Sistema and Sistema Invest in favor of Rosneft.

Rosneft has conducted an internal audit of Bashneft and concluded that the company suffered losses of 106.6 bln rubles ($1.84 bln) when Sistema owned the company’s shares - Bashneft lost 49.4% of Sistema-Invest shares during the reorganization, and, consequently, indirect ownership of the shares of Bashkirenergo and Ufaorgsintez. Rosneft estimates losses from these actions at 57.2 bln rubles ($987.1 mln). The remaining amount of losses: Sistema-Invest has written off a loan of 36.9 bln rubles ($636.78 mln) provided to Bashneft, another 12.4 bln rubles ($213.98 mln) - repurchase and redemption of Bashneft shares purchased from minority shareholders.

The initial amount of the claim was increased by 64 bln rubles ($1.1 bln) due to the difference between the US dollar exchange rate in 2014, when the reorganization of Bashneft was carried out, and at the time of filing the claim in 2017.

Earlier, President Putin said he had met with the owner of Sistema Vladimir Yevtushenkov and Head of Rosneft Igor Sechin about the dispute between the companies and expected the parties to reach a settlement agreement. The president noted that the agreement, in his opinion, would benefit both Rosneft and Sistema, and the Russian economy. At the same time, Putin added he did not give direct instructions on the issue and was not planning on it.

MOSCOW, Dec 6 - PRIME.  The international rating agency S & P Global Ratings (S & P) has downgraded the long-term corporate credit ratings in the national and foreign currencies of AFK Sistema AFKSAFKS +1,52% to "B +" from "BB-", leaving them on the list for revision, the agency said.

At the same time, S & P placed the company's rating on the list for the revision of "Developing" (CreditWatch with developing implications) from the list for revision with possible further decrease (CreditWatch with negative implications), it follows from the release.

The ratings were placed on the list for revision on July 18, 2017.

"We believe that Sistema's liquidity may weaken after the announced payment of 110 million dollars in dividends, given the absence of dividend income from the company's shares in MTS MTSSMTSS +0,34% , part of which was arrested in the case of Rosneft's ROSNsuit ROSN -0,34% ," the agency writes.

S & P will withdraw the company's ratings from the list for review, when the results of the trial with Rosneft and their influence on the company will become known.  At the same time, the ratings may be downgraded with the weakening of Sistema's liquidity, and raised if the outcome of the dispute does not affect the company's credit ratings, and Sistema will improve its liquidity profile.

On August 23, the Arbitration Court of Bashkiria partially satisfied the lawsuit filed by Rosneft, Bashneft BANEBANE -0,04% and the Republic of Bashkortostan on recovering losses from AFK Sistema and its subsidiaries caused by the Bashkir oil company in 2014.  As part of this dispute, the Bashkir arbitration in June, at the petition of the plaintiff, seized Sistema and Sistema-Invest's 31.76% stake in MTS, 100% of Medsi and 90.47% of BESK's shares, banning their disposal.  The right of AFK Sistema and Sistema-Invest to obtain income on the seized shares is also limited.
