Habe mir mal den Vertrag angesehen. Es sieht doch ganz danach aus, dass die das 3D Business für Entertainement komplett verkaufen und nur die Technik behalten und lizensieren:
~Under the terms of the APA, the Purchaser agreed to purchase the Purchased Assets, which are comprised of the following: Gener8 Digital’s right, title and interest in and to certain contracts, which provide the revenue of 3D Business including any work-in-progress; Certain fixed assets used in Gener8 Digital’s 3D Business; The goodwill attributable to Gener8 Digital’s 3D Business; The right to represents itself as carrying on the 3D Business including the right to use the name Gener8; Trademarks, internet domains and website content used exclusively in Gener8 Digital’s 3D Business; and Certain records used in the 3D Business. For greater certainty, the Purchased Assets do not include: (1) all accounts receivable; (2) Gener8 Digital’s right, title and interest in and to the lease for Gener8’s office at Suite 100 – 138 East 7th Avenue, Vancouver, British Columbia V5T 1M6; (3) bank accounts together with all cash on hand; (4) all properties and assets that are leased or licensed by Gener8 Digital; (5) any affiliated indebtedness; (6) certain future payments that Gener8 Digital may receive, including tax refunds, and proceeds from litigation proceedings; (7) all deposits and prepaid expenses that do not constitute work-in-progress; (8) all shares, securities and other interests held by Gener8 in any entity; (9) all of our interests in any insurance policies, including any cash surrender value thereof; (10) the 3D Technology, all properties and assets (tangible or intangible) owned or used by Gener8 exclusively in connection with our “Cumul8” and “Reelhouse” businesses; and (11) all corporate, financial, taxation and other records not pertaining to the 3D Business or the Purchased Assets.
