Wer von Euch hat auch eine hohe Quantitaet von ERICR shares erhalten ???

Mir wurden aufgrund der Holdings of x..... shares of ERICY
for FREE ERICR shares uebertragen???

Leider habe ich keine news und werde meinen broker morgen frueh anrufen.

20520 Postings, 8563 Tage Stox DudeAUFKLAERRUNG " ERICR" - WICHTIG -

ALso, habe heute morgen mit meinem broker gesprochen, der mich diesbzgl.
versuchte telefonisch zu erreichen, war aber leider in Bangkok unterwegs
und irgendwie ist seine message abhanden gekommen.
Anyway, die ERICR shares wurden mir uebertragen als " RIGHTS ISSUE ",
das bedeutet ich habe das Recht diese Aktien zu KAUFEN, aber ich habe auch
das Recht die " RIGHTS " am freien Markt unter ERICR zu verkaufen, was
gestern seitens meines brokers ( ohne meine Zustimmung und aufgrund der
deadline 28-08-2002) veranlasst wurde.

Mein broker hat gestern eine Verkaufsorder " aller RIGHTS " fuer 0,29 cents
ausgefuehrt. Heute erhielt ich die Gutschrift ;-)))

Ich schlage euch vor, die Rights ebenfalls am freien Markt zu verkaufen und
aufpassen, die Rights haben einen Verfalltermin!

Ericsson sets terms for rights offering

Date: Friday, July 19 2002

- One A- or B-share entitles the holder to receive a right to
subscribe for one new B-share at SEK 3.80

- Total offering amounts to approximately SEK 30 billion

- Offering open to all shareholders of record date as of August 13,
2002

- Subscription and payment period runs from August 15 - September 3,
2002

- The rights issue is fully underwritten by shareholders and a
consortium of banks

Terms of the rights offering
Based on the authorization granted by the extraordinary meeting of
shareholders on June 6, 2002, the board of Ericsson has now set the
terms of the rights offering.

One share of series A or series B of Ericsson, held as of the record
date of August 13, 2002, carries the right to subscribe for one new
share of series B. The subscription price is SEK 3.80 per share.
Equivalent terms are offered to holders of the Nasdaq-traded ADSs.

Ericsson currently has 656,218,640 series A shares and 7,252,509,947
series B shares outstanding (excluding 156,775,980 treasury shares of
series B), which means that a maximum of 7,908,728,587 new series B
shares will be issued (assuming that no further convertibles are
converted or warrants are exercised prior to the record date).
Subscriptions will be possible on a non-preferential basis for shares
not taken up by shareholders exercising preferential rights.
Allocation preference will be given to subscriptions made by those
who have exercised their subscription rights. The offering will raise
approximately SEK 30 billion, before expenses.

Underwriting and subscription commitments
Due to the current negative sentiment in stock markets in general and
the telecom industry in particular, and in order to ensure the
success of the rights issue, the Board of Ericsson has decided to
have the rights issue fully underwritten.

Industrivärden and Investor, representing 7.4 percent of the share
capital and 66.7 percent of the votes, have together undertaken to
subscribe for SEK 8 billion of the rights issue.

In addition, Alecta, Skandia Life, Second National Pension Fund and
Third National Pension Fund, representing approximately 7.0 percent
of eligible shares have undertaken to subscribe for their respective
rights in the issue, corresponding to slightly more than an aggregate
of SEK 2 billion.

The remaining SEK 20 billion, is underwritten by a consortium of
banks, consisting of Morgan Stanley, SEB/Enskilda Securities, Goldman
Sachs International, Handelsbanken Securities and Schroder Salomon
Smith Barney.

The underwriting is subject to customary returns and conditions.
Timetable
Ericsson estimates that the rights offering will follow the below
timetable:

August 9
Ericsson's series A and series B shares will be traded exclusive of
the right to participate in the offering.

August 13
Record date for participation in the rights offering, i.e.
shareholders and ADS holders registered as owners on this day will
obtain B share rights or ADS rights, as applicable, to participate in
the offering.

August 15
First day for subscription and payment for B shares and ADSs. First
day for trading in B share rights and ADS rights.

August 27
Last day for trading in ADS rights, as well as the last day for
subscription and payment for ADSs.

August 29
Last day for trading in B share rights.

September 3
Last day for subscription and payment for B shares.

On or about Sep. 6
Announcement of preliminary rights offering results.

Offering documentation will be sent to shareholders and ADS holders
registered as owners as of the record date around the time of the
start of the subscription period.

Proposed authorization for rights offering
The board of Ericsson has resolved that an Extraordinary General
Meeting of shareholders be called for 6 June 2002, to authorize the
Board to launch a rights offering to the company's shareholders. The
intention is that the rights offering shall raise approximately SEK
30 billion. It is proposed that the Board be authorized to formulate
the final terms and conditions of the rights offering in order to
provide for flexibility in the timetable, especially as Ericsson is
subject to regulatory approvals in several jurisdictions. The terms
will be set at the formal launch of the rights issue taking account
of the prevailing share price, market conditions and prudent market
practice. The proposal is that shares of both series A and series B
will carry rights to subscribe for new shares of series B. The rights
offering is expected to be carried out before the end of the third
quarter 2002.

Industrivärden and Investor who together hold approximately 7% of the
capital and approximately 67% of the votes in Ericsson have expressed
their support for the proposed rights offering and stated that their
intention is to subscribe fully for their rights.

Background and rationale
We strongly believe that the global telecom equipment market,
particularly wireless communications, is a long-term growth market.
However, 2001 was a challenging year for the whole industry, the
beginning of 2002 has shown no improvement and the near term market
outlook is uncertain.

In response to this we have aggressively adjusted our organization
and cost base. The efficiency program launched last year is now
successfully concluded and has lowered our costs by SEK 20 billion
annually. Further annual cost savings of SEK 10 billion have already
been initiated in response to the continuing difficult market
conditions. In addition, we have identified another SEK 10 billion of
annual cost savings to be implemented. As a result, at the end of
2003 our cost base is expected to be SEK 40 b. lower than at the
beginning of 2001. Going forward, we are committed to continue to
focus on profitability and to adjust our organization and cost base
to levels appropriate for expected market conditions.

In the market place we have increased our focus on mobile
infrastructure and we believe that our competitive position in
wireless systems has never been stronger. We have leading market
positions in 2G, 2.5G and 3G mobile systems. We believe that the
combination of internal cost control and a strong market position
will mean that we will emerge from this market downturn in an even
stronger competitive position.

However, in order to sustain and strengthen our leading market
position, we also need a robust financial position with a strong
equity/assets ratio and ample liquidity. We believe that in an
environment with increased business risk we would not be acting in
the interests of all our constituencies - shareholders, customers and
employees - if we did not manage our financial risk prudently in
order to have increased security if poor market conditions continues
or deteriorate further.

We also need financial strength in order to have the ability to
leverage our leading market position and allow strong expansion and
ongoing strategic flexibility.

The approximate size of the proposed offering is SEK 30 billion. This
capital injection will eliminate our net debt position and give us a
pro forma equity/assets ratio of 38% as of March 31, 2002. Adjusted
for the temporarily increased cash balance, the pro forma
equity/assets ratio as of the same date would have been approximately
43%, well in line with our long-term goal of more than 40%.

Hallo,

die Abwicklung der Kapitalmaßnahme bei Ericsson in Deutschland (und die Deutschen Aktien werden hier wohl die meisten haben) gestaltete sich leider ziemlich kompliziert.

Es gab je nach A oder B-Akien und danach, um welche Art von Aktie es sich handelte (FRIA oder DZ) verschiedene Maßgaben, nach denen man junge Aktien beziehen konnte.

Ganz vereinfacht lief es für die meisten so:

Man bekam zum Trenntag 08.08.02 für jede Ericsson-Aktie ein Bezugsrecht, welches zum Bezug einer neuen Ericsson-Aktie zum Preis von 3,80 SEK (ca. 0,41 €) berechtigte. Da der Wert der Aktie im Handelszeitraum stark schwankte, schwankte auch der Wert des Bezugsrechtes, denn der ergibt sich naturgemäß etwa aus dem Kurs der Aktie abzüglich der 0,41 € Bezugspreis. Wer seine Bezugsrechte nicht zum Bezug von jungen Aktien angemeldet hat, der hatte die Möglichkeit die Bezugsrechte zu verkaufen. Hatte man der Bank gar keine Mitteilung gegeben, wie sie zu handeln hat, verkauft sie naturgemäß die Bezugsrechte am letzten Handelstag bestens. Soweit ich mich erinnere war dies in Deutschland der 21.08.

Je nach Typ der Aktie, die man von Ericsson besaß gab es darüber hinaus evtl. noch die Möglichkeit weitere junge Aktien zu "zeichnen", d.h. man konnte weitere Aktien auch ohne Bezugsrecht bekommen.
