"960,000 shares are subject to escrow restrictions to be released upon the achievement of certain milestones.
600,000 of the escrowed shares will be released once Foro reaches a minimum of 25,000 regular users of Foro’s application software and
the remaining 360,000 escrowed shares will be released once Foro reaches 50,000 users of Foro’s application software.
If the milestones have not been achieved within 12 months of closing of the acquisition of Foro, all escrowed shares not yet released will be cancelled.
The fair value of the shares subject to escrow restrictions will be recorded if and when the milestones are reached. Concurrent with the acquisition, Fundamental issued 464,927 shares and made a cash payment of $50,000 to settle certain creditors of Foro (which are included in the balance of the notes payable in the table below) (Note 9). Foro owns the intellectual property, the intellectual property rights, the application software, and the trade-marks for the applications called “Foro” and “Truth”."
