SportsPrize Entertainment, Inc. (OTC BB: JOCK) is a unique web-based entertainment company dedicated to creating a premier interactive Sports site on the Internet. Through its portal, SportsPrize.com, the Company, is developing an on-line sports entertainment and will include unique advertising, marketing and e-commerce opportunities, whose targeted audience will be sports fans from around the world. This unique combination of sports related entertainment and e-commerce opportunities has real benefit, value and service to its members, which creates the environment of a strong and continuing business model and revenue platform for the Company.
About the Company
The SportsPrize.com site will be a destination of choice for the huge audience of sports enthusiasts on the Internet. SportsPrize.com will offer free, fun and rewarding entertainment opportunities through the SportsPrize.com Tournament system. The SportsPrize Tournament is a unique and exciting game that allows sports fans and game players alike to test their knowledge and intuition in a variety of different sports for the chance to win points, prizes and discounts on merchandise. Additional content like the Tournament's results and ranking pages; sporting news and statistics; moderated chats with sports heroes who serve on our Advisory Board; instructional seminars; and behind the scenes interviews will add even more excitement for visitors to SportsPrize.com.
SportsPrize.com will also integrate valuable and fun merchandise and transactional opportunities for players and site visitors that will feature discounted sports products, brand name vendors, exciting memorabilia and autographed merchandise and an Onsite Auction.
Sports entertainment and Information sites on the Internet have seen dramatic growth in recent history. The top sites are receiving well in excess of one million page views per day. The primary demographics of that traffic is made up of upscale, educated, affluent men. Most are 25-54 year of age, who are college grads with household incomes of $70K plus per year income. Internet sports sites are becoming more popular with female users according to a survey by NPO Online. NPD found that 36% of female Net users receive sports info online.
Virtually all surveys project worldwide Internet use and e-commerce will grow significantly over the next decade. A recent study by International Data Corp. (IDC) estimates that by 2002, there will be 320 million Internet users and worldwide e-commerce will be valued at $425 billion. On-line advertising is expected to top $7.5 billion by 2002 (Jupiter Communications,). A study by Nielsen Media Research and CommerceNet released in mid-1999 indicates that in North America alone more than two in five people are Internet users and that 60% of these users or 55 million people are also Internet consumers. The Internet is also fast becoming a mainstream news source. More than one-third of Internet news audiences now goes on-line to get sports scores and information. This outstanding potential for growth presents opportunities for both existing and new companies to attract an Internet audience and develop additional revenue streams. While other web sites appeal to sports fans, attracting millions of hits per day (i.e., sites such as ESPN.com, Yahoo!Sports and CBS Sportsline), none have developed a concept that combines sports, interactive games and e-commerce like SportsPrize.com.
The Market Opportunity
The popularity of professional sports has never been more evident than on the Internet than it is today. While other sports related sites exist on the Internet, the Company has developed a unique concept that has not been exploited by existing sports web site formats. SportsPrize.com will incorporate the entertainment aspects of games and the challenge of competition with sports merchandising, promotion and marketing. Details are provided in the attached file.
Marketing Advantage: By incorporating the Company's Advertiser's and Sponsor's products or services into the SportsPrize Game, they can turn SportsPrize.com members into buyers. SportsPrize.com will offer a wide range of standard and custom advertising and sponsorship opportunities for their advertisers and sponsors. SportsPrize.com is specifically structured to provide sponsors and advertisers with real value by fostering multiple opportunities for interaction with its SportsPrize.com members as part of the play of the Tournament; the navigation of their site; their extensive e-commerce presence and sophisticated e-mail and in-package marketing programs.
Competitive Advantage: SportsPrize.com has developed a unique Internet business model that harnesses three major components required for a successful web business:
Compelling Content that touches the passion of the audience, including special content envisioned by their Sports Advisory Board of past and present sports heroes.
Community Features that permits and facilitates communication among its members, and allows them to create their own competitions within the SportsPrize Tournament, all ensuring a loyal and repeat user base.
Unique Commerce Opportunities which will be of real appeal and value to its members through associations with major corporations, retailers, brand manufacturers and sports memorabilia vendors.

The Sportsprize Tournament
The SportsPrize Tournament is a new and proprietary online sports/entertainment competitive experience. The SportsPrize.com Tournament challenges players to test their knowledge and insight of their favorite sports, teams and players against all other Tournament players in pre-determined competitive groups. SportsPrize.com also encourages Private Competitions, which members can create for themselves to play against their friends or co-workers, or can be created for them by members of associations they are affiliated with such as their school, social or sports club, or neighborhood. Click here for details on Member Registration and Competition, the SportsPrize Game Play, and Winning Prizes.
The business model of the Company is to incorporate transactional and direct marketing opportunities into the prize and reward structure of the SportsPrize.com Tournament as well as offering all its members discount opportunities on products purchased through their site. They will offer a variety of transactional formats and opportunities for its members through four distinct shopping environments. These will include:
The Winner's Mall, where members, based on their success in the Tournament, can get special discounts on unique and desirable products;

The SuperStore, will offer to its members a wide variety of branded products at competitive prices; and
The SportsPrize Auction, will provide a fun opportunity for its members to compete with each other by bidding on rare or collectible items only available on SportsPrize.com.
The structure of their Tournament creates multiple, simultaneous competitions that segment their user base by geography and affinity interests. The Tournament play also segments its members by the specific sports that appeal to them most. In addition, the member registration form provides SportsPrize.com with a wealth of basic information about their membership and allows them to provide other targeted e-mail communications to users based on their prior expression of interest in receiving information and offers about new products and services. Recent & Future Media Coverage
Plans are on-going to increase investor & public awareness of the SportsPrize business concept on a national level:
Coordinated media blitz, will occur for the launching of the SportsPrize.com web site.
Intense Internet program, through a coordinated banner ad campaign (hyperlinks and advertisements), analyst reports that profile the Company on financial websites, and chat group discussions.
Upcoming Corporate News, numerous press releases regarding new company developments will be released to the public throughout the 3rd quarter of 1999.
Fax-Blast, will be disseminated to numerous stock brokers in the U.S. beginning August 16, 1999.
Based on the technical position and future business plan of SportsPrize, we believe the stock price has the potential to appreciate in the near future. On May 12, 1999, SportsPrize began its trading debut with quite a support from investors, sending the stock from around $6 to over $9. During the next two months, the stock price depreciated to its 52-week low of about $3. Its 52-week high is $9 3/16 and 52-week low is $ 2 31/32. In early July, the stock reached an oversold condition as displayed by the stochastics oscillator in the chart below. On about July 7, two significant indicators signalled an apparent buying opportunity: (1) a cross-over effect took place with the fast and slow stochastics oscillators, and (2) confirmation with the cross-over of price through the simple moving average. At that time, the stock surged 33% from $3 to about $4. Currently, the price has settled back to its base level of support at the low $3 range.
What we are showing you here, is that some technical indicators are more useful for predicting price movement than others. For this stock, we believe that the simple moving average with price and the stochastics oscillators are the better ones to use for our analysis. Knowing this, further application of technical analysis confirms that the stock price is now poised again for price appreciation.
Date of Chart: August 6, 1999
PennyStockPicks.Com, LLC believes the Company fits the profile of being undiscovered, undervalued and has the potential to appreciate in price in the third quarter of 1999. We feel the stock is an spectacular investment opportunity and is at a favorable buying price considering its short and long-term potential. Investing in this company does involve some short-term risk if the stock price falls through its current level of support of about $2 3/4 or volatility due to the low number of shares in the trading float. Our best judgement of the short-term (three months) target price is difficult to determine for this stock, but we feel the price can reach $5 1/4 (~ 75% higher than today's prices), and a conservative long-term (6 months to 1 year) target price of $8 (> 150% higher).
SportsPrize Entertainment, Inc. is an exciting new and unique web-based entertainment company dedicated to creating a premier interactive Sports site on the Internet. Through its on-line sports entertainment portal (which will include unique advertising, marketing and e-commerce opportunities), it is intended to attract an explosive audience of sports enthusiasts from around the globe. As the number of Internet users, customers, and sports enthusiasts continue to grow dramatically each month, millions of Internet users will visit sports-related sites. All of these positive factors along with the factors of "Why SportsPrize Warrants Investment Consideration", translates into the potential of growth and profitability for the Company.
