Die DGAP zur Pepco Group brachte bei mir ein Zahnrädchen in Bewegung.
Es geht um eine Fuß note aus dem SIHL Report 2020, S. 147:
"In terms of an intergroup restructure Pepco Holdco Limited was introduced into the European Group structure and acquired the shares in Steenbok Newco 7 Limited ("Newco 7"), which holds the underlying Pepco Group shares.Upon the acquisition of the shares in Newco 7, Steinhoff Africa and Newshelf 1093 Proprietary Limited ("Newshelf") released Steinhoff Retail GmbH from its loan commitment and it was deemed that Steinhoff Africa and Newshelf have provided Pepco Holdco Limited with loans of €67 454 000 and €106 448 000 respectively. The Pepco Holdco Limited loans are Euro denominated, carry interest at 8% and is repayable on 31 December 2021. Management deem these loans to be fully recoverable subsequent to the restructure. An impairment reversal of R3.4 billion was recognised on derecognition of the Steinhoff Retail GmbH loans."
Ich lese dies so: Wenn Pepco Holdco, frisch gegründet, die Anteile an der Newco 7 übernommen hat und die beiden Südafrikaner entlassen daraufhin Steinhoff Retail GmbH aus ihrer internen Schuld ggü. der Newco 7, dann können eigentlich die beiden Südafrikaner nur jeweils eine indirekte übergeordnete Gesellschaft der Pepco Holdco darstellen und über ihren indirekten Besitz der Newco 7 Anteile Zugang zu den Aktien der Pepco Group erhalten haben.
Und durch diese 2 Darlehen von den Südafrikanern zu 8 % an Pepco Holdco, konnte diese einen Teil ihrer Verbindlichkeiten aus dem "English Security Agreement" begleichen und es wurden verpfändete Assets dadurch frei:
