Seit gestern ist die 2019-er Bilanz der Retail Holdings SARL auf: https://beta.e-justice.europa.eu/489/DE/...ch_for_a_company_in_the_eu Land Luxembourg eingestellt. Nicht so die Bilanz ist für mich interessant, sondern das Management Incentive Programm, jetzt umgestellt auf Barzahlung, aber war ja in der SIHNV Bilanz schon bekannt gegeben worden, dass alle MIP´s nicht mehr "Share based" sind. OK, für mich ebenfalls unwichtig. Wichtig halte ich die Aussage zur Bewertung der 2,12 % von Managern der PGL (Pepco Group Ltd) gehaltenen Pepco-Shares. Retail Holdings SARL ist eine hundertprozentige Tochter der Steinhoff UK Holdings Ltd welche zu 100 % uns (SIHNV)gehört. Retail Holdings SARL hält direkt 97,88 % der Anteile an PGL, wird dort als "Investor" geführt. Nun gibt es eine Vereinbarung von 2017, die restlichen 2,12 %, gehalten von den Pepco Managern, im Januar 2019 (erledigt), 2021, 2023 und 2024 aufzukaufen. Ist natürlich für die Manager ein Bombendeal. Je höher der Wert ihrer 2,12 %, desto mehr Kohle gibt es. Für jeden Zeitpunkt wird dabei der Gesamtwert der 2,12 % zu Grunde gelegt. Januar 2019 ist erledigt, SEAG als eine Konzerngesellschaft, die ebenfalls an diesem Deal beteiligt ist, hat den ersten Teil im Januar 2019 gekauft, für einen am Wert der PGL orientierten Gegenwert der 2,12 % zum damaligen Zeitpunkt von 24.376.654 €. Zum 30.09.2019 ergab der Wert der 2,12 % PGL Shares bereits 32.008.323 €. Dies wäre eine Wertangabe von 1,5 Mrd € für 100 % der PGL. Im Rahmen eines IPO´s kann sich jeder anhand eines dann zu bestimmenden Faktors die IPO Bewertung ausrechnen. Ein Jahr später, also heute dürfte aufgrund der Pepco Expansion mittlerweile ein noch höherer Wert aufrufbar sein. Für die Manager ein echt lohnender Deal!!! ;-) Für uns aber auch ;-) S. 10 Anhang der 2019 er Retail Holdings SARL "Future Commitments The Company is presently the owner of 97.88 % of the issued shares of Pepco Group Limited ("PGL") (See Note 4). In terms of an agreement dated 28 April 2017, the Company is obliged to acquire (or procure another Group entity to acquire) the remaining shares issued by PGL from certain PGL managers in terms of an employee share incentive scheme. The managers have the right to put their shares to the Company for cash consideration at fair value at certain exit points during the month of January in 2021, 2023 and 2024. As at 30 September 2019, the aggregate consideration to be paid by the Company for the shares is estimated at GBP 28,349,692 (EUR 32,008,323). The first exit option was exercised in January 2019 for a consideration of GBP 21,629,684 (EUR 24,376,654), and the Company procured Steinhoff Europe AG (its indirect parent) to purchase the first tranche of shares. The commitment to acquire the three remaining tranches remains with the Company, and the next exercise date is in January 2021." |
