Hallo zusammen,
hätte da auch nochmal so ein paar Punkte:
1. Kommunikation der Gesellschaft, dazu habe ich schon lange nichts mehr gesagt, aber heute muss ich sagen da platzt mir doch bald der Kragen, da bewegt der Kübel doch seinen Hintern endlich mal in die offensive mit Hinblick auf die eingereichten Klagen gegen zu mindestens schon mal zwei der Verursacher dieser ganzen Scheiße & die loyalen Gesellschafter (O-ton du Preez aus dem 2018er Report) bekommen dies nicht von der Gesellschaft mitgeteilt sondern erfahren es lediglich über die Medien, da fällt mi auch bald nichts mehr zu ein!
2. 2018er Report, bin immer noch nicht komplett durch mit dem Report, arbeite jedoch daran, eine Frage brennt mir nun jedoch bereits seit Tagen im Kopf & vielleicht kann mir dahingehend ja schon mal jemand weiterhelfen, von den ausgewiesenen 1,2 Mrd Verlust resultieren 900 Mio aus Anschreibungen und "lediglich" 300 Mio haben einen anderen Ursprung/Grund, ist dies korrekt? Falls ja dann ist das doch schon mal höchst interessant, da die 599 Mio die für H1/18 als negativ Betrag ausgewiesen wurden nämlich überhaupt keine Abschreibungen beinhalteten.
3. Eine weitere Auffälligkeit die beim 2018er Report zu entnehmen war, ist ein Widerspruch innerhalb des Report bezüglich Wiese Senior & Junior mit Bezug zur Vorbereitung der Implementierung des Shoprite Deals. Zwecks der angeblichen Vorbereitung des Deals wurden Seitens der International Holding zwei chash Summen (1 X 125 Mio & 1 X 200 Mio) an Upinton wird von Wiese kontrolliert ausgezahlt. Auf Seite 35 heiß es auf einmal das Wiese Senior & Junior den conflict of interest im Zuge eines Supervisory Borad Meetings am 06.06.2017 "angezeigt" hätten.
Auszug aus dem 2018er Report Seite 35:
"Shoprite transaction and transactions with Christo Wieses related entities Pepkor entered into call option agreements whereby it obtained the right to acquire 128 million ordinary shares in the capital of Shoprite Holdings Limited from various parties. The former chairman Christo Wiese and his son Jacob Wiese reported their conflict of interest in the (potential) transaction during the Supervisory Board meeting of 6 June 2017. Pepkors board exercised the call options prior to 30 November 2017 as part of the planned expansion of the Pepkor group, subject to the fulfilment of conditions precedent. This transaction was not subsequently implemented. In the process, Steinhoff made prepayments of 125 million and 200 million in October and November 2017 to entities related to Christo Wiese (the former chairman of the Supervisory Board). Agreements have been entered into with these entities in terms of which 125 million has been settled during the second quarter of the 2018 Reporting Period. The balance of 200 million plus interest will be repaid on agreed terms. The entities are awaiting regulatory approvals to be able to perform under the terms of the agreement."
Nun kommt ein Auszug zum gleichen Thema von Seite 106 des gleichen & somit des 2018er Reports, da heißt es dann wieder das Wiese Junior und Senior den conflict of interest nicht "angezeigt" hätten, tja und in dem folgenden Auszug könnt ihr dann nämlich auch mal sehen welche Altbekannten Gurken aus der fröhlichen Steinhoff Freakshow den conflict of interest zu diesem Deal ebenfalls nicht angezeigt haben. ;-) Here we go:
"During the 2017 Reporting Period, Steinhoff N.V. entered into call option agreements whereby it obtained the right to acquire 128 million ordinary shares in the capital of Shoprite Holdings Limited from various parties. Because of their respective shareholdings in Upington, former Chief Executive Officer and Managing Director, Markus Jooste, former Chief Financial Officer and Managing Director, Ben la Grange, and former Chief Operational Officer and Managing Director, Danie van Merwe, also personally each had a material financial interest in the Prepayment Transaction with Upington. It does not appear from the minutes of the Supervisory Board that: (i) the former Chief Executive Officer and Managing Director, Markus Jooste, the former Chief Financial Officer and Managing Director, Ben la Grange, or former Chief Operational Officer and Managing Director, Danie van Merwe, reported their respective conflicts of interest in the Prepayment Transactions in accordance with best practice provision 2.7.3; (ii) the former Chairman of the Supervisory Board, Christo Wiese or Supervisory Director Jacob Wiese, reported their respective conflicts of interest in the Prepayment Transactions in accordance with best practice provision 2.7.3; or (iii) the Prepayment Transactions were approved by the Supervisory Board. Consequently, this Annual Report does not include declarations that best practice provisions 2.7.3, 2.7.4 and 2.7.5 have been complied with."
Ha, ha es ist so lustig, wie ich hier die Tage ja schon mal gepostet habe, gab es den obenstehend genannten Passus von Seite 35 des 2018er Reports auch bereits innerhalb des 2017er Report (müsste innerhalb des 2017er Reports auf Seite 37 zu finden ein), aber da wurde auch noch klipp und klar geschrieben das weder Wiese Junior noch Senior den conflict of interest angezeigt hätten. Weitere Abweichung in dem Bereich zwischen dem 2017er und 2018er Report bezieht sich auf den Bereich des Passus wp es um die immer noch ausstehende Rückzahlung der 200 Mio geht, im 2018er Report wurde der Zusatz " The entities are awaiting regulatory approvals to be able to perform under the terms of the agreement."eingefügt, wie die Tage schon einmal gefragt, wofür benötige ich ein "regulatory approval" um eine einfache Rückzahlung auszuführen???
Hat die Gesellschaft da nicht ggf. einen kleinen schnuckeligen Deal mit der Familie Wiese gemacht & bekommt im Rahmen des Deals noch ein bissel was feines wofür man die genannte Freigabe abwarten muss. ;-)
Schon alles sehr auffällig wenn man sich mal intensiver mit der ganzen Materie auseinandersetzt, genauso das im Zuge des Deals mit Campion Capital auf einmal rund um 30 Millionen wundervolle Brait share unter anderem Gegenstand des Deals sind, Brait gehört doch auch wieder zu Wiese.

Ernsthaft, es riecht hier für mich wirklich stark danach als wenn die Gesellschaft einen Deal mit Wiese eingegangen wäre, dies mag ggf. finanziell von Vorteil sein, aber moralisch ist das natürlich ein totaler Schuß in den Ofen und vertrauenserweckend ist dies dann auch beileibe nicht.

4. Weitere Termine Juni, neben dem ausstehenden Restrukturierungsupdate für den Monat Juni, findet am 28.06 auch die nächste Runde zwischen LSW vs AIH/SEAG statt, ob wir dazu ggf. mal eine Information von der Gesellschaft erhalten werden? Lassen wir uns mal überraschen.
