As set forth in Sections 1.140 and 27.3 of the Seventh Amended Plan, all of WMI INVESTMENT ASSETS will be contributed to a Liquidating Trust (discussed below), such that WMMRC, which is currently operating on a “runoff” basis, will be Reorganized WMI’s only operating subsidiary.
WMMRC, a Hawaiian corporation and non-debtor, wholly-owned subsidiary of WMI, is a captive reinsurance company, created to reinsure the risk associated with residential mortgages that were originated or acquired by WMB.
Mortgage insurance for WMB-originated or acquired loans had historically been provided by seven mortgage insurance companies (collectively, the “ Mortgage Insurers ”), although currently WMMRC is party to mortgage reinsurance agreements (the “ Reinsurance Agreements ”) with only six mortgage insurance companies.
WMMRC entered into Reinsurance Agreements with each Mortgage Insurer, pursuant to which it would share in the risk, in the form of claim losses,
in exchange FOR A PORTION OF THE PREMIUMS generated from the residential mortgage loan portfolio held by the Mortgage Insurer.

------------Zu dem JPM Kaufpreis. Lasst es gut sein. Man kann es so sehen, daß das P&A abgeschlossen ist mit der Zahlung von unverschämten 1,9 B., trotz 2008, .....man kann es so sehen, daß JPM nur bestimmte Werte bezahlt/bekommen hat
Die Frage bleibt, ob JPM nachzahlt oder für weitere Werte bezahlt oder bezahlt HAT.

Eine Kauf- und Übernahme-Transaktion (P&A) ist eine geschlossene Banktransaktion, bei der eine gesunde Bank einen Teil oder das gesamte Vermögen einer gescheiterten Bank kauft und einen Teil oder alle Verbindlichkeiten übernimmt.
Der Erwerber erhält in der Regel Unterstützung vom Einlagensicherer, um die Transaktion abzuschließen. Im Rahmen der P&A-Transaktion zahlt die erwerbende Bank in der Regel eine Prämie an den Einlagenversicherer für die von ihm erworbenen Einlagen;
die Prämie verringert die gesamten Lösungskosten für den Versicherer. Der Grund, warum der Erwerber diese Prämie zahlt, ist, dass die Einlagenbasis einen Wert im Sinne der etablierten Kundenbeziehungen hat, der üblicherweise als Franchise-Wert bezeichnet wird...."
----------Würde also eigentlich passen mit 1 % Premium Anzahlung. Dann kommen die vielen aber und im Endeffekt wissen wir es nicht. JPM hat die Einlagen der WMB Bank übernommen, aber das sind keine Schulden, wie uns mancher weiß machen möchte, sondern werden erst Schulden, wenn die Bank diese Einlagen nicht covern kann. Es sind also nur buchhalterische Schulden. Auch die Bezeichnung book value ist irreführend und muß leider etwas kritischer betrachtet werden, mit entsprechenden Abschlägen. WENN dann kommt bzgl. Kaufpreis etwas von Seiten der FDIC, was aber letztendlich JPMs Geld war. Zu den Filialen: alle die JPM nicht wollte nicht bekam, wurden anderweitig verkauft. Zum Grundbesitz. Ich habe keine Ahnung, ob WMI Werte besitzt oder eine Tochterfirma. Viel dürfte das nicht sein, fürchte ich. Zu der Dauer CH11. Kein Grund DESWEGEN an Werte zu glauben. Zu der Dauer CH11. Sehr wohl ein Grund an ausreichende Werte zu glauben.
Und das ist die CRUX hier. Hier gibt es kein schwarzweiß Denken, kein ja oder nein. Keine NULL und keine 300 Milliarden. Die Wahrheit liegt irgendwo dazwischen.
Außer Frage steht, daß JPM verpflichtet war, Unberechtigtes zurückzuzahlen mit Info-Pflicht an WMI.

From and after the Effective Date of 3/19/2012, JPMC shall (a) cause such of its Affiliates to continue to service the loans identified on Exhibit “Z” hereto (the “Loans”) pursuant to the servicing agreements identified on Exhibit “AA” hereto (the “Servicing Agreements”), (b) cause such of its Affiliates TO REMIT TO WMI all checks and/or payments received in connection with those loans in its possession and (c) promptly (i) remit to WMI all servicing advances that JPMC is holding with respect to such loans and (ii) provide WMI an accounting with respect to each of the foregoing.
