RESS RELEASE Piraeus Bank-MIG Agreement Piraeus Bank S.A, as basic creditor to Marfin Investment Group (MIG) and within the framework of the existing loan agreements with the company, has announced the signing of a framework-agreement with MIG; such agreement foresees the Bank's holding in Series A unsubscribed bonds, of MIG convertible bond loan, with maturity date on July 29, 2019 and subscription period until June 30, 2014. The terms of MIG convertible bond loan are stipulated in the company's Prospectus, as approved by the Hellenic Capital Market Commission and foresee the possibility of conversion into the company's new shares at a conversion price of €0.54 per share. Piraeus Bank is committed to exercise the right of conversion of bonds into shares for the amount of at least €90 mn, which corresponds to 17.7% of MIG Share Capital. The implementation of the above strategic agreement and conversion of bonds are set to significantly strengthen MIG Group financial structure. The aforementioned agreement is subject to the approval of the Board of Directors of both Groups and of the competent Regulatory Authorities. Athens, May 14, 2014 |
