01.02.2008 07:16 Australia's Zinifex expects H1 net profit of 1.27-1.32 bln aud with one-off gain SYDNEY (Thomson Financial) - Australian base metals miner Zinifex Ltd (News) said Friday it expects to report a net profit of 1.27-1.32 billion Australian dollars in the first half, including a one-off gain from the sale of its smelting and refining asset to Belgium's Nyrstar. Profit from the sale of the assets was in the 940-980 million-dollar range, it said. Earnings before interest and tax (EBIT) from its continuing mining operations are expected to be between 250 and 275 million dollars, while EBIT from the discontinued smelting and refining operations will be in the 75-100 million-dollar range. The company said it issued the guidance as available brokers' forecasts for the period indicated an unusually wide range. Apart from estimates of the Nyrstar profit, a sharp decline in zinc prices and currency movements may also be adding to uncertainty in the market, it said. Der Zinkpreis ist heute in Shanghai Limit Up gestiegen und folgte damit der Entwicklung in London. Die Händler gehen davon aus, dass die Stromausfälle in China und Südafrika die Produktion beeinträchtigen.
In China herrschen die schlimmsten Winterstürme seit Jahrzehnten und diese haben vielerorts die Produktion von Kupfer  Aluminium  und Zink  lahmgelegt.

Der April-Future für Zink  stieg heute an der Shanghai Futures Exchange stieg heute um vier Prozent auf 20.580 Yuan (2.865 US) je Tonne. Handelsschluss war bei 20.515 Yuan.
Analysten gehen aber davon aus, dass die Preise für Zink  nach den Winterstürmen in China wieder unter Druck geraten, da die weltweiten Lagerbestände mit 111.325 Tonnen recht hoch sinf.

Zinifex, Allegiance locked in takeover battle

Mind games are continuing in the takeover battle between west coast miners Zinifex and Allegiance, with Allegiance hitting back over claims it may have reported incorrect loss figures.

Eight weeks ago, Zinifex launched a hostile bid for Allegiance, and therefore the Avebury nickel mine at Zeehan in Tasmania.

Since then, Allegiance has reported Zinifex to the Federal Takeover Panel, saying it panicked three shareholders into selling 40 million shares.

Yesterday Zinifex questioned whether Allegiance has share trading losses beyond the $7.9 million reported to the stock exchange.

This morning, Allegiance hit back, saying it reported the losses as an absolute maximum, and they could in fact be smaller.

It says all speculative trading stopped once the losses were found.

Allegiance says Zinifex is using diversionary tactics because its offer has attracted little interest after seven weeks.

The offer was due to close last Friday, but was extended for two weeks.

Trafford Resources has signed major zinc producer Zinifex Limited to an $8.5m joint venture to explore for lead/zinc/silver at its mineral-rich Wilcherry Hill Project, 40km north of Kimba in South Australia’s Gawler Craton.

Trafford, which will manage the joint venture for the first $4.5m of expenditure, is already exploring the 976sqkm Wilcherry Hill Project for iron ore with its 50% owned subsidiary IronClad Mining, as well as exploring for copper, gold, uranium and manganese in its own right.

IronClad Mining is currently engaged in a major drilling program to extend an iron ore resource and develop a mining operation on the property. Trafford is planning to drill-test manganese occurrences and continues to evaluate the results of previous drilling for gold and uranium.

Trafford’s agreement with Zinifex is a significant addition to the intensive exploration already being carried out by Trafford and IronClad Mining at the highly prospective project.

Zinifex delivers record $1.3b half-year profit

Mining company Zinifex has delivered a record half-yearly profit of $1.3 billion, a 74 per cent increase on last year.

The company says the sale of smelting facilities contributed $961 million to the strong result.

The general manager of Zinifex's Century Mine in Queensland's southern Gulf region believes it will be difficult to deliver a similar profit result in the next six months.

John Lamb says the price of zinc continues to fluctuate.

"We'll exercise good production and good cost control and if you look over the last three years ... at a chart of the zinc price, the rise was stellar and it peaked around about Christmas a little over a year ago now," he said.

"It's been heading downwards ever since and it's very, very hard for an individual operating entity to ... halt the slide of a metal price."

Australia's Zinifex on positive watch on proposed Oxiana merger - Fitch
MUMBAI (Thomson Financial) - Fitch Ratings signalled it may upgrade Zinifex Ltd, (News) after the merger proposal with Oxiana Ltd, (News) whereby both companies will own 50 pct each of a new company yet to be named.

The agency placed Zinifex's 'BB+' long-term foreign currency issuer default rating (IDR) on rating watch positive, saying the rating watch is expected to be resolved within six months by which time the structure of the merged entity, including its debt structure, will be clearer.

'The diversification from Zinifex's historic narrow zinc and lead focus into copper, following the merger with Oxiana, is positive and follows the imminent acquisition of nickel producer, Allegiance Mining NL,' Fitch said.

'The merged entity will have a strong balance sheet and credit metrics which will allow it to expand and diversify further in a manner that is likely to remain favourable for its credit rating and outlook,' it added.

The merger between Zinifex -- the world's third-largest zinc producer -- and Oxiana will take place via a scheme of arrangement whereby Zinifex shareholders will receive 3.1931 Oxiana shares for each Zinifex share.

5/03/2008 4:51:00 PM. Zinifex Limited (ZFX) has extended the offer period of its revised $852.4 million takeover bid for nickel miner Allegiance Mining NL (AGM) by almost two weeks.

The final offer of $1.10 per share was scheduled to close at 1900 AEDT this Friday but will now close at 1900 AEDT on Thursday 20 March. CEO Andrew Michelmore said the extension was in the interests of ensuring that all Allegiance shareholders had sufficient time to accept the lead and zinc miner's bid. "We have taken this decision as it has been drawn to our attention that it has taken longer than expected for Allegiance shareholders to receive Zinifex's revised acceptance form," Mr Michelmore said. Allegiance directors recommended on 25 February that shareholders accept the offer and said they intended to accept in respect of their personal shares, in the absence of a superior proposal. "If you have already accepted Zinifex's offer, then you do not need to take any action," Mr Michelmore said. "If you have not, I strongly urge you to accept the offer without delay." Zinifex has now lifted its stake in Allegiance to 17.84%.

The company has also stressed that the $6.2 billion proposed merger between Zinifex and gold and copper miner Oxiana Limited (OXR) would not affect the bid for Allegiance.

 At 1541 AEDT, shares in Allegiance were flat at $1.105, while Zinifex shares were 19c higher to $11.22.

Gerüchte um Fusionen im Rohstoffsektor gab es zuletzt viele. Bei den aus­tra­lischen Minenunternehmen Oxiana und Zinifex haben sich die Spekulationen nun bestätigt. Die Genehmigung der Aktionäre und Behörden vorausgesetzt, wür­de damit ein neuer Basis- und Edel­me­tallgigant entstehen. Als weltweite Num­­mer 2 unter den Zinkproduzen­ten würde das neue Gemeinschaftsun­ter­nehmen direkt von der stark anziehen­den Nachfrage nach dem Metall profitieren (siehe nebenstehende Grafik). Gleichzeitig nähme man aber auch eine bedeutende Stellung insbesondere im Kupfermarkt ein.

Doppelt gut
Im Rahmen des Angebots sollen Zinifex-Aktionäre 3,1931 Oxiana-Aktie für jeden Anteilschein erhalten. An dem neuen Unternehmen, das der CEO von Zinifex Andre Michelmore leiten soll, ist eine Beteiligung der Aktionäre beider Konzerne zu jeweils 50 Prozent vorgesehen. Michelmore verriet zuletzt, dass man sich vor allem von der starken Nachfrage nach unedlen Metallen aus China, Indien und den anderen Entwicklungsländern einiges erhoffe. Zudem eröffne sich durch die Fusion die Möglichkeit, in Zukunft größere Akquisitionen zu tätigen. Derzeit betreibt Zinifex mit der Century-Zinkmine in Queensland eine der größten Zinkminen weltweit. Nicht zu unterschätzen ist außerdem der hohe Barmittelbestand von rund zwei Milliarden Dollar. Aber auch Oxiana hat einiges zu bieten. Momentaner Hauptschauplatz ist die Kupfer- und Goldmine Sepon in Laos. Dort ist die weitere Expansion der Kupfer- und Goldförderanlagen geplant. Im Bau befindet sich zudem die Prominent-Hill-Mine in Südaustralien. Experten erwarten, dass sich durch die Inbetriebnahme die Kupferproduktion des Unternehmens nahezu verdreifachen wird. Weitere gemeinsame Entwicklungsprojekte sind bereits in Planung.

Top Perspektiven
Durch die Fusion von Oxiana und Zinifex entsteht ein neuer Big Player im Metallsektor. Zinifex bringt ordentlich Cash mit in das neue Unternehmen, Oxiana überzeugt vor allem durch seine hervorragenden Projekte. Gemeinsam ließen sich außerdem einige strate­gisch hochinteressante Akquisitionen tä­tigen. Der Preis, den Oxiana für Zini­fex bezahlt, ist dabei äußerst moderat. Nach dem deutlichen Kursrückgang von Zinifex im vergangenen Jahr scheint auch der Zeitpunkt wohl gewählt. Letztendlich profitieren zwar bei­de Unternehmen von dem Zusammenschluss, aufgrund der Details sollte man jedoch ein Engagement in Oxiana vorziehen.

ZINIFEX has prevailed with its $790 million, three-month takeover battle for Allegiance Mining, announcing it has gained control of the nickel miner.

Lead and zinc miner Zinifex, which was born from the ashes of the failed Pasminco Ltd, said it had increased its stake in Allegiance to 51.1 per cent from 44.78 per cent previously.

Zinifex is to further diversify its production base through its proposed merger with gold and copper producer Oxiana Ltd, announced on March 3.

However, Zinifex is unlikely to hold 100 per cent of Alleigance for the time being as the target's largest shareholder, China's Jinchuan Group Ltd, said last fortnight that it planned to hold on to its 10.4 per cent stake.

Jinchuan is sitting tight, waiting to see how the Zinifex/Oxiana merger develops.

Allegiance chairman Tony Howland-Rose said Jinchuan may want to become a minority shareholder in a merged Oxiana and Zinifex - a $12 billion company - to gain exposure to their combined lead, zinc, gold and copper assets.

Jinchuan, the largest nickel producer in Asia and the second largest copper producer in China, has off-take agreements for all nickel produced by Allegiance assets.

The Allegiance takeover has at-times been an acrimonious affair that includes mud slinging by both sides and a Takeovers Panel intervention.

Zinifex launched its initial $775 million bid for Allegiance in December.

The mid-tier miner rebuffed the then 90 cents per share offer, saying the bid was too low.

Allegiance said at the time that the offer was opportunistic because it was on the verge of starting commercial nickel production at its flagship Avebury nickel mine in Tasmania after more than a decade of exploring and developing the project.

The target said the offer undervalued the prospectivity of surrounding land, which has so far yielded encouraging drill results.

Zinifex gained the support of the Allegiance board when it raised its bid to $1 per share on January 24, valuing the target at $790 million.

The predator extended the offer period twice due to slow acceptances by Allegiance shareholders.
By February 8, Zinifex had accrued just 0.26 per cent of its target.

However, momentum gathered after Allegiance's largest institutional shareholder, Lion Selection Group Ltd, accepted the revised offer and pocketed proceeds of $48.5 million.

Allegiance was among the most traded stocks today, just over 1 million shares changing hands worth $34 million at 1448 AEDT.

Shares in Allegiance were steady at $1.110 at 1448 AEDT, while Zinifex's shares were down 34 cents to $9.56.

War das die Hype? Platzt da eine Blase bzw gehts noch weit unter die Wasserlinie?

Im Durchschnitt (fast) alle um mind.50% unter den Kursen vom letzten Jahr, einige haben ATL Kurse.
