Mr. Frank is Chairman of the Board of the Company. He is a director of Aegis Insurance Services, Inc., Puget Energy, Inc. and Northrop Grumman Corporation. On January 1, 2002, Mr. Frank retired as Chairman, President and Chief Executive Officer of Southern California Edison, the largest subsidiary of Edison International, a power company, where he had served since June 1995. From 1990 until 1995, Mr. Frank served as the President, Chief Operating Officer and a director of Florida Power & Light Company. Prior to that, he served as an Executive Vice President and Chief Financial Officer of TRW, Inc. and the Vice President, Controller and Treasurer of GTE Corporation. Alan Fishman §Alan H. Fishman is Chief Executive Officer, Director of Washington Mutual, Inc. He has more than 25 years of experience as a senior executive in banking and financial services. He was previously president and chief operating officer of Sovereign Bank and president and chief executive officer of Independence Community Bank. Fishman has spent his entire career in the financial services industry as both an operator and an investor. Until 2007, he was president and chief operating officer of Sovereign Bank. He joined Sovereign through its 2006 acquisition of Independence Community Bank, a community bank and multifamily lender in the New York area, where he had been president and chief executive officer since 2001. Recently he has been involved in a variety of business and civic activities, including serving as chairman of Meridian Capital Group, one of the nation's largest commercial mortgage brokerage firms, and as chairman of the Brooklyn Academy of Music. He holds a bachelors degree from Brown University and a master's degree in economics from Columbia University. Robert Williams §Mr. Robert J. Williams, Jr. is President of Washington Mutual, Inc. He served as Senior Vice President and Corporate Treasurer of Washington Mutual Bank from February 2005 until his appointment as President of the Company. Prior to his employment with Washington Mutual Bank, Mr. Williams served in various positions with SunTrust Bank, including as Senior Vice President, Corporate Treasury from 2000 until February 2005. John Maciel §Mr. John A. Maciel is Chief Financial Officer, General Auditor and Controller of Washington Mutual, Inc. He continues to hold the positions of Executive Vice President, Additional Restructuring Officer, Assistant Secretary and Assistant Treasurer. Since 2005, Mr. Maciel, has been a Senior Director at Alvarez & Marsal North America, LLC (“A&M”), a management consulting firm specializing in advisory and business consulting services for companies in transition. Prior to his employment with A&M, Mr. Maciel consulted for a variety of companies, where he managed and supervised projects regarding reorganization, financial planning and reporting, and Sarbanes Oxley compliance. Immediately prior to his employment with A&M, Mr. Maciel was working as an independent contractor for Hexcel Corporation, supervising the Sarbanes Oxley implementation, among other things. William Kosturos §Mr. William Kosturos is Chief Restructuring Officer, Executive Vice President and Secretary of Washington Mutual, Inc. He was President, Chief Financial Officer, Vice President, Treasurer and Controller of the comapny till November 2008. Since June 2002, Mr. Kosturos, has been a Managing Director at A&M, a management consulting firm specializing in advisory and business consulting services for companies in transition. Mr. Kosturos specializes in interim management and advising and assisting boards of directors, investment groups, management groups and lenders in a wide range of turnaround, restructuring and reorganization situations. Most recently, Mr. Kosturos served as the Chief Restructuring Officer of Movie Gallery from June 2006 to May 2008. Previously, from February 2003 to June 2005, he served as interim Chief Executive Officer and Chief Restructuring Officer of The Spiegel Group. Diane Glossman §Ms. Diane B. Glossman, CFA has been appointed as the Director of Washington Mutual Inc. Ms. Glossman has 25 years of experience as an investment analyst, including for Salomon Brothers, Lehman Brothers, and UBS, where she was managing director and head of United States bank and brokerage research until her retirement in 2003. She specialized in money center, trust banks, and broker/dealers, but over the course of her career covered all aspects of the banking and financial services industries. Following her retirement from UBS, Ms. Glossman has served as an advisor and consultant to a number of financial institutions. Ms. Glossman is currently a board member of the Ambac Assurance Company (head of the compensation committee and a member of the special committee and the audit and risk assessment committee), as well as the Board of Directors of the Bucks County SPCA (Treasurer and member of the finance committee; past president). Previously, she sat on the Trustees Board of the SSgA Funds (a member of the audit, governance, valuation, and qualified legal and compliance committees); the Board and finance committee of the Internet payments company E-Charge Corporation; and the Board of the flavorings and botanicals company, A.M. Todd Group (chairman of the compensation committee and acting chairman of the audit committee). During her career as an analyst, Ms. Glossman was a frequent commentator on industry and company events for such entities as The Nightly Business Report, The Wall Street Journal, Financial Times, New York Times, The Economist, CNN, CNBC, and various trade publications. Timothy Graham §Mr. Timothy R. Graham has been appoinetd as the Director of Washington Mutual Inc. He is currently the principal of Brookwall, LLC, a company advising on financial and operating restructurings. He has transactional, management, and compliance experience in the restructuring, corporate, and venture capital arenas with particular emphasis on troubled insurance and financial entities. From June 2008 through August 2010, Mr. Graham was a consultant to Triad Guaranty Insurance Corporation and its mortgage insurance subsidiary. Prior to that engagement, Mr. Graham served as President and Chief Restructuring Officer of LaSalle Re Limited, the primary subsidiary of a distressed NYSE traded, international casualty/catastrophe reinsurer based in Bermuda, which completed the solvent closure with regulatory approval of its licensed reinsurance company primarily through consensual resolution of its policyholder obligations in less than four years. Mr. Graham also previously served as General Counsel, Director, and Chief Restructuring Officer/Counsel for Trenwick Group LTD., a NYSE traded holding company of an affiliated group of distressed insurance and reinsurance subsidiaries with aggregate assets exceeding $4.5 billion operating in the US, Lloyds of London, Bermuda, and Europe, as well as the General Counsel and a Director of Winstar Communications Inc., a broadband telecommunications, internet service and content provider with licensed operations throughout the US and in a number of international markets. Prior to that, Mr. Graham was a principal in an investment fund focused on distressed and turnaround investments, as well as a partner in a New York based national law firm specializing primarily on international corporate transactions, reorganizations, regulatory compliance and business law. Mr. Graham has authored several books and a number of articles on international business law and has spoken or co-chaired a number of conferences on international insurance restructurings and related matters. Mark Holliday §Mr. Mark E. Holliday has been appointed as the Director of Washington mutual Inc. From 2003 through 2009, Mr. Holliday was a partner in Camden Asset Management, a multi-billion hedge fund focusing on convertible and capital structure arbitrage. Prior to becoming a partner with Camden, Mr. Holliday was with a number of investment firms, including Deephaven Capital Management, Heartland Capital Corp., Option Opportunities, and Continental Partners Group. Mr. Holliday has served on the boards of directors of a number of corporations and has experience on board audit committees. His past and present directorships include YRC Worldwide, Inc. (audit committee chair, compensation committee), FiberTower Corporation (director and chair of the audit committee), Primus Telecommunications Group (audit committee chair, compensation and governance committee), Movie Gallery, Inc. (board chair, audit committee chair), Clear Choice Health Plans (special committee member), Assisted Living Concepts, Inc. Phillip Matthews §Mr. Matthews serves as Director of Washington Mutual Inc. He is currently the Chairman of WaterPik Technologies, Inc. and lead director of Wolverine World Wide, Inc., where he was Chairman from 1993 through 1996. From 1996 through 2005 he was the Chairman of Worldwide Restaurant Concepts, Inc. From 1981 to 1991, he was owner and Chief Executive Officer of Bell Helmets, Inc. and prior to that he was Executive Vice President and Chief Financial Officer of Dart Industries and its successor, Dart and Kraft, Inc. He is a director of WaterPik Technologies, Inc., Wolverine World Wide, Inc., Orco Construction Supply, Inc. and Trojan Battery Company. Regina Montoya §Ms. Regina T. Montoya serves as Director of Washington Mutual Inc. She has been the Chief Executive Officer of New America Alliance since September 2005, where her responsibilities include developing strategic and tactical plans to fulfill the Alliance’s mission of promoting the advancement of the Latino community with a focus on economic empowerment. From 1996 until 2005, Ms. Montoya was the Founder and President of WORKRules, a Texas-based workforce training and media and community relations company, and from August 2002 until February 2005, Ms. Montoya was the Southwest Regional Director for AARP. A Harvard-trained attorney, Ms. Montoya has served in the White House as an Assistant to the President and Director of the Office of Intergovernmental Affairs. Michael Murphy §Mr. Murphy serves as Director of Washington Mutual Inc. He is the retired Chairman and Chief Executive Officer of CPM Development Corporation, a construction materials manufacturer and the parent company of Central Pre-Mix Concrete Company and Inland Asphalt Company. Margaret Osmer-McQuade §Ms. Osmer-McQuade serves as Director of Washington Mutual Inc. She has been President of Qualitas International, an international consulting firm, since 1993. She also serves as a director of River Capital International LLC. William Reed §Mr. Reed serves as Director of Washington Mutual Inc. He was Chairman of Simpson Timber Company and Simpson Investment Company from 1971 to 1996. He serves as a director for Green Diamond Resource Company, PACCAR Inc., Safeco Corporation and The Seattle Times. He was Chairman of the Board of Safeco Corporation from January 2001 through December 2002 and lead independent director from 2002 through 2004. Orin Smith §Mr. Smith serves as Director of Washington Mutual Inc. He was President and Chief Executive Officer of Starbucks Corporation, a coffee retailer, from June 2000 until March 31, 2005. From June 1994 to May 2000, Mr. Smith served as Starbucks’ President and Chief Operating Officer, and from March 1990 to June 1994, he was Starbucks’ Vice President and Chief Financial Officer and later its Executive Vice President and Chief Financial Officer. Mr. Smith also serves on the board of directors of NIKE, Inc. and The Walt Disney Company. James Stever §Mr. Stever serves as Director of Washington Mutual Inc. He retired as Executive Vice President, Public Policy, of US WEST, Inc., a telecommunications company, on December 31, 1996, a position he held since January 1996. He was Executive Vice President, Public Policy and Human Resources, of US WEST, Inc. from November 1994 to January 1996, and Executive Vice President, Public Policy, of US WEST, Inc. and US WEST Communication, Inc. from 1993 until 1994. He was President, Public Policy, of US WEST Communications, Inc. from 1990 until 1993 and President, Business Division, from 1988 until 1990. Michael Willingham §Mr. Michael Willingham has been appointed as the Director of Washington Mutual Inc. He has been the chair of the Equity Committee since its formation in January 2010. Through his service on the Equity Committee, Mr. Willingham has developed substantial knowledge about WMI's current state of operations and also about the terms of the Seventh Amended Plan and related agreements involving Reorganized WMI. Mr. Willingham is currently working on issues necessary to prepare Reorganized WMI for emergence from bankruptcy. Mr. Willingham has prior experience with complex securities agreements and financial instruments. He has served on committees or trust boards in prior bankruptcies including Mirant Corporation and Calpine Corporation. Mr. Willingham has also provided consulting services on a wide variety of issues, ranging from chapter 11 litigation to securities trading investigations, and has been engaged as a consultant in bankruptcies including Enron.
