Good morning from Germany!
As far as I can tell from the scheme, if I understand it correctly, Australian investors can choose to receive an ASX-traded CDI or an NYSE-traded share in exchange. The standard here is a CDI, but there should be a choice.A cover letter will be sent out for this purpose.
Canadian shareholders will receive an NYSE-listed share by default and can opt for an ASX CDI. (Scheme on page 43)
For Overseas Shareholders, the event of sale occurs if a Scheme Shareholder is an Ineligible Overseas Shareholder for the purposes of the Scheme, if he is on Effective date his address stated in the Allkem registeris located in a jurisdiction other than Australia, Argentina, the British Virgin Islands, Canada, China, Hong Kong, Japan, Canada, Malaysia, New Zealand, Singapore, the United Kingdom and the United States or other jurisdictions specified by Allkem, Livent and NewCo in writing aslawful and not unreasonably impractical or burdensome for NewCo to offer and/or issue NewCo Shares or NewCo CDIs. (Schematic page 45)
The calculation basis for paying out the shares can be found further below. |
